These General Terms and Conditions (“Terms”) constitute a legally binding agreement between Bravoxa Ltd, a Samoan Corporation with its principal place of business at INTERSHORE CONSULT (SAMOA) LIMITED, Intershore Suite, Le Sanalele Complex, Apia, Samoa (hereinafter referred to as the “Company,” “we,” “our,” or “us”), and the individual or entity purchasing or using products or services offered by the Company (“Customer” or “you”).

By accessing, purchasing from, or using the Company's website, products, or related services, the Customer acknowledges and agrees to be bound by these Terms.

  1. 1. Scope of Application

    1.1. These Terms govern all sales, shipments, and related transactions conducted by the Company, whether through its website or any other authorized sales channel.

    1.2. Any additional or conflicting terms proposed by the Customer shall be void unless expressly accepted in writing by the Company.

    1.3. The Company reserves the right to modify these Terms at any time without prior notice. The current version shall be deemed accepted by the Customer upon continued use of the Company's products or services.

  2. 2. Products and Blockchain Disclaimer

    2.1. The Company's products may relate to or interact with a particular blockchain or digital ecosystem (the "Blockchain").

    2.2. The Customer expressly acknowledges and agrees that:

    • (a) the Blockchain may be experimental, hypothetical, or not yet operational;

    • (b) the existence, functionality, and continued operation of the Blockchain are not guaranteed by the Company;

    • (c) the Company makes no representations or warranties regarding the creation, deployment, performance, or future viability of the Blockchain; and

    • (d) any reference to the Blockchain or its associated tokens, assets, or ecosystem is for informational or thematic purposes only and does not constitute an offer, promise, or guarantee of access to or participation in such Blockchain.

    2.3. The Customer assumes all risks associated with reliance on or interaction with the Blockchain, including but not limited to technical failures, cessation of operation, or lack of future development.

    2.4. Under no circumstances shall the Company be liable for any loss, damage, or claim arising from the non-existence, malfunction, or discontinuation of the Blockchain.

  3. 3. Orders and Payment

    3.1. All product orders are subject to acceptance by the Company. The Company reserves the right to refuse or cancel any order at its discretion, including but not limited to suspected fraud, pricing errors, or supply limitations.

    3.2. Prices are listed in USD and are subject to change without notice.

    3.3. Payment must be made in full prior to shipment unless otherwise agreed in writing.

    3.4. The Customer is responsible for ensuring that all payment information is accurate and valid at the time of purchase.

  4. 4. Shipping and Delivery

    4.1. The Company shall use reasonable efforts to process and dispatch orders promptly. All stated delivery timeframes are estimates only and do not constitute a guarantee of delivery within a specified period.

    4.2. Estimated delivery times are as follows:

    • (a) North America: two (2) to four (4) business days;

    • (b) Europe and Asia: three (3) to ten (10) business days;

    • (c) All other regions: seven (7) to fifteen (15) business days.

    4.3. Delivery times may vary due to customs clearance, local holidays, weather, or carrier delays. The Company shall not be liable for delays beyond its control.

    4.4. The Company currently ships to more than fifty (50) countries worldwide. If the Customer's country is not listed at checkout, the Customer may contact the Company for assistance.

    4.5. Upon transfer of the order to the designated shipping carrier, title and risk of loss shall pass to the Customer. Tracking information will be provided where available.

    4.6. The Company shall not be liable for loss, damage, or delay occurring after the shipment has been handed to the carrier.

  5. 5. Taxes, Duties, and Import Fees

    5.1. International shipments may be subject to import taxes, customs duties, or other fees imposed by the destination country.

    5.2. Such charges are not included in product prices or shipping fees and shall be borne solely by the Customer.

    5.3. The Customer is responsible for complying with all import regulations and paying any applicable charges directly to the appropriate authorities.

  6. 6. Lost or Delayed Shipments

    6.1. In the event of a significant shipping delay or lost parcel, the Customer must notify the Company promptly.

    6.2. The Company will assist with the carrier's investigation and, if loss is confirmed, may issue a replacement shipment or other appropriate remedy at its discretion.

    6.3. The Company's liability shall be limited to the replacement value of the shipped goods and shall exclude all indirect or consequential losses.

  7. 7. Warranties and Disclaimers

    7.1. Except as expressly stated in writing, all products and services are provided on an "as is" and "as available" basis without any representations or warranties of any kind, whether express or implied.

    7.2. The Company disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

    7.3. The Company does not warrant that its products, website, or associated blockchain features will be uninterrupted, error-free, or free from technical defects.

  8. 8. Limitation of Liability

    8.1. To the maximum extent permitted by law, the Company's total aggregate liability for any claim arising out of or in connection with these Terms shall not exceed the total amount paid by the Customer for the relevant order.

    8.2. In no event shall the Company be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of data, or business interruption.

    8.3. The Customer expressly acknowledges that the risks associated with the Blockchain are beyond the Company's control and assumes all related liability.

  9. 9. Force Majeure

    9.1. The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, natural disasters, labor disputes, government actions, or technological failures.

  10. 10. Governing Law and Jurisdiction

    10.1. These Terms shall be governed by and construed in accordance with the laws of Samoan Law, without regard to conflict of law principles.

    10.2. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Samoa, unless otherwise required by applicable consumer protection laws. Any dispute will be resolved by means of arbitration.

  11. 11. Severability

    11.1. If any provision of these Terms is found invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
